OFFICIAL STATUTE OF MALTA PYROTECHNIC ASSOCIATION 

1. General Information

1.1. Name

The name of this association is Malta Pyrotechnic Association.

 

1.2. Address

The official address of the association should be that of the personal secretary at that time, due to the association not having a fixed premises.

 

1.3. Emblem

The official emblem of the association is as displayed below:

2. Aim and Duties

2.1. The Malta Pyrotechnic Association is an autonomous, voluntary association whose activities are non-profitable.

 

2.2. The main objective of the Malta Pyrotechnic Association is to oversee the craft, the art and science of the pyrotechnics. This is done by:

 

2.2.1. Represents on a national level the interest of all fireworks factories in Malta and Gozo by advocating on their behalf with competent authorities in all issues that consern the pyrotechnic sector.

 

2.2.2. To educate all pyrotechnic licensed personnel and the Maltese population in general on all aspects that have to do with the manufacture, storage, transportation and letting off of fireworks,

 

2.2.3. Organizes educational courses, seminars and conferences on the subject,

 

2.2.4. Keeps in contact with foreign organisations and helps in the pyrotechnic research to broaden the competence level of licensed personnel,

 

2.2.5. Offers free consultation and expert advice on pyrotechnic chemicals, health and safety, and local fireworks laws and regulations,

 

2.2.6. Assists those factories which end up without a license and protects the art and craftsmanship of Maltese traditional fireworks,

 

2.2.7. Researches and archives the history of fireworks in Malta

 

2.2.8. Participates and encourages the upkeep of social, cultural and religious activities in our Islands.

3. Qualifications Partnerships and New Members

3.1. Every member of the Malta Pyrotechnics Association that is not an observer has to be in possession of a license that is issued from the Police Commissioners in the pyrotechnics sector.

 

3.2. Those persons that would like to become new members of the Malta Pyrotechnic Association have to fill in and sign an application form.

 

3.3. The applicable fees are:

 

3.3.1. Fireworks Factories the fee is €50 annually. This covers every licensed person that has a licence within that fireworks factory.

 

3.3.2. A pyrotechnic entity which does not possess a fireworks factory, the fee is €20 annually and its representative is considered as observant.

 

3.3.3. An enthusiast that has a license and wishes to register on ones behalf but not in the name of an pyrotechnic entity, the fee is that of €10 annually and one is considered as an observer.

4. Rights and Member Obligations

4.1. The rights and member obligations are:

 

4.1.1. Abide to the statute and oversee the resolutions that are published from time to time form the Leader Committee and/or from the Annual or Extraordinary General Meeting.

 

4.1.2. Participates in the Annual and Extraordinary General Meeting.

 

4.1.3. They have a right to call an Extraordinary General Meeting together with other members.

 

4.1.4. Every Fireworks factory has only one vote. This vote shall be exercised personally through the holder of the Fireworks Factory or through a power of attorney, provided that such power of attorney is in a written manner.

5. General Meetings

5.1. There can be two types of General Meetings:

 

5.1.1. Annual General Meeting. This is called in writing to each Licensee Holder and to each observer and the notice must be given at least fifteen days before the date of the meeting.

 

5.1.2. Extraordinary General Meeting. This is called in writing to each Licensee Holder and the notice must to be given not less than five days before the date of the meeting.

 

5.2. Every notice for the General Meeting has to include the agenda that is going to be discussed and the resolutions that are going to be proposed. No other subject can be discussed without the consent of the majority of the members that are present.

 

5.3. The functions of the Annual General Meeting of the Maltese pyrotechnic association are:

 

5.3.1. To consider and confirm the minutes of the previous annual general meeting.

 

5.3.2. To consider and approve the financial statements. These must reflect the financial year of the Malta Pyrotechnic Association which starts on the 1st of January and ends on the 31st of December of each year.

 

5.3.3. To consider, approve and adopt any amendment to the statute.

 

5.3.4. To consider and approve resolutions brought before it.

 

5.3.5. To appoint the auditors of the Malta Pyrotechnic Association.

 

5.4. Any amendment to the statute must be approved.

6. Executive Committee

6.1. Election and Appointment

 

6.1.1. The executive committee must be made up of no less than three (3) members and no more than thirteen (13) members who must include a President, Vice President, Secretary and Treasurer. Each member must have a possession of a License 'A' . These must be elected only by a majority of the holders who vote in a general meeting. In the committee there cannot be more than one member of the same fireworks factory.

 

6.1.2. The committee must be elected directly from the fireworks factories through a secret vote exercised by the holder.

 

6.1.3. The President, Secretary and Treasurer are elected directly by the holders of the fireworks factories. They are called executive officers in the executive of the committee and have the legal representation of the association.

 

6.1.4. If during the term of appointment, an executive official or a member of the executive committee decides to stand for the general election as a candidate, they can do so, but if they are elected as member of parliament, they will automatically cede any position they hold in the management committee.

 

6.2. The Work of the Executive Committee

 

6.2.1. The management committee shall meet as often as possible according to the need and at least five times a year. The quorum for the meeting of the management committee will be half the number of its members and its decisions must be taken by a simple majority of votes.

 

6.2.2. Any member of the executive committee who, without proper reason, fails to attend three consecutive meetings of the committee, will be considered to have left ones position and the vacant place will have to be filled by another member. The first person to be considered for that position must be the person who has obtained the highest number of votes from among the non-elected candidates.

 

6.2.3. The executive committee has the right to co-opt no more than three members from among the licensed members during the term of office of the Malta Pyrotechnic Association, provided that the maximum amount of members as stipulated in article 6.1.1 is not exceeded.

 

6.2.4. Every financial document issued by the Malta Pyrotechnic Association including cheques and other documents must be signed by the President, the Treasurer and the Assistant Treasurer. Sums of money that exceed €250 must be approved by the executive committee.

 

6.2.5. The executive committee cannot approve the expenditure of more than €2000 at one time if not with the approval of the annual or extraordinary general meeting.

 

6.2.6. The committee can appoint a person outside the executivd committee to represent the Malta Pyrotechnic Association legally. This person has the right to attend the meetings of the committee but cannot vote in the same meetings.

 

6.2.7. Each member must be careful not to be associated with organizations whose goals may be in conflict with those of the association.

 

6.2.8. Each member must not talk to others who are not members of the committee on things that have been said in the meetings of the executive committee if they have not previously obtained the consent of the same committee.

 

6.2.9. No member may be paid for his position in the committee and may not have another job or paid position in the association, including any form of contract with the association.

7. Duties

7.1. The Duties of Honorary Members

 

7.1.1. The Malta Pyrotechnic Association shall have a number of honorary members. They are recommended by members of the association and approved by a majority of three quarters of the members of the annual general meeting. They shall serve as ambassadors of the union.

 

7.2. The Duties of the President

 

7.2.1. The president shall preside at the annual and extraordinary general meetings and at the meetings of the management committee. In the absence of the president, his functions are carried out by the vice president, in the absence in any meeting of both the president and the vice president this must be led by the most senior person present.

 

7.3. The Duties of the Secretary

 

7.3.1. Must keep correctly and updated the minutes, records and all the registers of the association.

 

7.3.2. Takes care and signs the correspondence on behalf of the executive committee.

 

7.3.3. Calls and attends the meetings of the executive committee and records the proceedings of those meetings in the minute book.

 

7.3.4. Takes care of the ordinary work of the association and fulfill all the duties given to him by the committee.

 

7.3.5. Should consider that no income, capital or property should be used directly or indirectly for any interest of any promoter, member, administrator, sponsor or for any other private interest.

 

7.4. The Duties of the Treasurer

 

7.4.1. Be responsible for all finances in the association.

 

7.4.2. Prepares and takes care of all receipts and documents required by the rules and by trade or as requested by the management committee of the Malta Pyrotechnic Association.

 

7.4.3. Be responsible for the proper and punctual keeping of all the accounts and account books of the association.

 

7.4.4. Help the appointed auditors of the Malta Pyrotechnic Association.

 

7.5. Assistance to the Executive Committee

 

7.5.1. Auditors of the Association

 

7.5.1.1. The financial statements of the Maltese pyrotechnic association must be verified at least once a year by a professional auditor or auditors (according to legal notice 379) appointed at each annual general meeting in which verified financial statements are presented. The auditors shall remain in office from the end of that next annual general meeting in which audited financial statements are presented. The right to audit must be approved at the annual general meeting.

 

7.5.2. Sub-Committees

 

7.5.2.1. From time to time the Executive Committee can set up a subcommittee with the aim of giving direction to the Executive Committee.

8. Broadcasting and Publications

8.1. Every publication of the association whether printed or visual is the property of the Malta Pyrotechnic Association.

 

8.2. Any writing or visual picture preparation intended for publication that directly or indirectly involves the association must be approved by the executive committee of the Malta Pyrotechnic Association before its publication.

 

8.3. Before members of the association make public statements according to the objectives of the association listed in chapter 2 sub article 2 of this statute, they must take the advice of the executive committee of the Malta Pyrotechnic Association.

9. Dissolution of the Association

9.1. In case that in a general meeting of the Malta Pyrotechnic Association, a majority of seventy-five percent (75%) of the registered members present and entitled to vote, are in favour of the same association being dissolved, the committee of the management must take immediate steps to pay all the debts that may be there, and dispose of the remaining money, assets or property according to the decision of the same general meeting.

 

9.2. In case of dissolution of the association, the remaining money, assets or property must be given to the Dar tal-Providenza In Siggiewi (VO/1066). In this same case, the executive committee must inform the commissioner of voluntary organizations of the decision to dissolve up to fifteen days from when it was taken.

10. Observance of this Statute

10.1. Any internal investigation regarding non-observance of this statute shall be investigated by the executive committee of the Malta Pyrotechnic Association or by a sub-committee appointed by it which shall report to the same committee in due course.

 

10.2. These regulations apply on how the Malta Pyrotechnic Association should be run. In case there are any matters that do not appear in these regulations, the management committee shall proceed according to the Civil codes of the Republic of Malta, as applicable at the time when the matters arise and according to what seems to be in the best interest of the association.

 

10.3. These regulations of this statute can be changed, deleted and/or added by a simple majority of the members convened in a general meeting
